Sazmining Loyalty Program Terms

These Sazmining Loyalty Program Terms (these “Loyalty Terms”) govern the Sazmining Loyalty Program (the “Program”) offered by Sazmining, Inc. (“Sazmining,” “we,” “us,” or “our”) to customers who use Sazmining’s Bitcoin Mining as a Service (“you,” “your,” or “Member”).

You do not need to do anything to join. Every eligible customer is automatically enrolled in the Program. The Program provides a reduction in the Management Fee you pay under your Service Agreement once you reach and activate a qualifying Tier, as described below. If you do not wish to participate, you may opt out at any time as described in Section 2.4.

These Loyalty Terms supplement, and are incorporated by reference into, your Service Agreement and the Sazmining General Terms of Use available at https://www.sazmining.com/terms-of-use (the “Terms of Use”). Capitalized terms used but not defined in these Loyalty Terms have the meanings given in your Service Agreement.

1. Definitions

1.1  “Activated Status” means that you have satisfied the activation requirements of Section 5.

1.2  “Activation Hashrate” means, for each Tier, the minimum Rated Hashrate of Qualifying Hardware set out in the “Activation Hashrate” column of the Tier Schedule.

1.3  “Applicable Tier” means, for any billing cycle, your Earned Tier as determined on the Recalculation Date on which that billing cycle begins, provided you have activated a Tier under Section 5.

1.4  “Discount” means the reduction of the Management Fee set out in the “Discount” column of the Tier Schedule for your Applicable Tier, calculated as described in Section 3.3.

1.5  “Earned Tier” means the Tier that corresponds to your Qualifying Hashrate on a Recalculation Date.

1.6  “Existing Customer” means a customer who, as of 11:59 p.m. Pacific Time on the day before the Launch Date, owned Customer Equipment (including any Virtual Rig) hosted by Sazmining under a Service Agreement.

1.7  “Founding Member Window” means the period from September 1, 2026 through 11:59 p.m. Pacific Time on December 31, 2026.

1.8  “Launch Date” means October 1, 2026.

1.9  “Management Fee” means the Management Fee (expressed as a percentage of Block Rewards) set out in your Service Agreement for the applicable Data Center, before application of any Discount.

1.10  “PH/s” means petahashes per second.

1.11  “Qualifying Hardware” means a new, pre-owned, or refurbished mining rig purchased from Sazmining (through the Web App or under an Order Confirmation or other written order with Sazmining) and hosted at a Data Center under your Service Agreement. Qualifying Hardware does not include mining rigs acquired from another customer or any other third party.

1.12  “Qualifying Hashrate” means the aggregate Rated Hashrate of all Customer Equipment that (a) you own, (b) is hosted by Sazmining at any Data Center under a Service Agreement that is in effect, and (c) is not Excluded Equipment (as defined in Section 4.4), including any Virtual Rig assigned to you during a Transition Period.

1.13  “Qualifying Purchase” means a purchase of one or more items of Qualifying Hardware that satisfies Section 5.5.

1.14  “Rated Hashrate” means the manufacturer’s nameplate hashrate for a Mining Rig model, expressed in PH/s, as reflected in Sazmining’s records, without regard to actual performance, overclocking, underclocking, curtailment, or downtime.

1.15  “Recalculation Date” means your monthly billing date under your Service Agreement, or such other monthly date as Sazmining designates for all Members.

1.16  “Required Activation Hashrate” has the meaning given in Section 5.2.

1.17  “Service Agreement” means the Sazmining Service Agreement (or Master Service Agreement, together with each applicable Location Schedule and Order Confirmation) governing Bitcoin Mining as a Service for your Customer Equipment, as amended from time to time.

1.18  “Tier” and “Tier Schedule” mean the Program tiers, and the table describing them, set out in Section 3.1.

2. Enrollment and Eligibility

2.1  Automatic Enrollment. Each customer that is party to a Service Agreement and has an Account in good standing is automatically enrolled in the Program as of the later of the Launch Date and the date the customer first becomes party to a Service Agreement. There is no fee to participate. Enrollment alone does not entitle you to a Discount; you must also reach and activate a qualifying Tier.

2.2  Eligibility. To receive a Discount, you must (a) be party to a Service Agreement that is in effect; (b) not be in default of any payment or other obligation under your Service Agreement; and (c) comply with these Loyalty Terms, your Service Agreement, the Terms of Use, and applicable law. Sazmining may exclude from the Program any person or entity that Sazmining determines, in its reasonable discretion, is ineligible under applicable law or sanctions requirements, or is a Sazmining employee, officer, or director.

2.3  One Membership per Customer. Program status is determined per customer. If you hold more than one Account, or if multiple Accounts are held by persons or entities under common ownership or control, Sazmining may, in its sole discretion, aggregate or decline to aggregate those Accounts for purposes of the Program. You may not open, split, or combine Accounts, or transfer Customer Equipment among Accounts, for the purpose of obtaining a higher Tier or a Discount to which you would not otherwise be entitled.

2.4  Opting Out. You may opt out of the Program at any time by emailing support@sazmining.com from the email address associated with your Account with the subject line “Loyalty Program Opt-Out.” Your opt-out will take effect on the first Recalculation Date following Sazmining’s receipt of your request. On the effective date of your opt-out, your Activated Status will be cancelled, and you will pay the full Management Fee from that date forward. If you later ask to rejoin, you will be treated as a new Member and must satisfy the activation requirements of Section 5 again. Opting out of the Program does not affect your Service Agreement.

2.5  Other Offers. Unless Sazmining states otherwise in writing, the Program may not be combined with any other discount, promotion, or special pricing on the Management Fee. The Program does not affect any separate referral or affiliate program, which is governed by its own terms.

3. Tiers and Discounts

3.1  Tier Schedule. The Program has the following Tiers:

* See Section 5.2. Rig counts are approximate and assume a mining rig with a Rated Hashrate of approximately 0.25 PH/s. They are for illustration only; the PH/s thresholds control.

3.2  Maximum Tier. Gold is currently the highest Tier. Members whose Qualifying Hashrate exceeds the Gold threshold will be treated as Gold. Sazmining may, but is not obligated to, introduce additional Tiers or benefits in the future under Section 7.

3.3  How the Discount Works. For each billing cycle, the Management Fee payable on Block Rewards earned by your Customer Equipment will be reduced by the Discount for your Applicable Tier. The Discount is a percentage of the Management Fee. For example, if your Management Fee is 15% of Block Rewards and your Applicable Tier is Gold, your Management Fee will be reduced by 6% of 15%, to 14.1% of Block Rewards.

3.4  Multiple Data Centers. Your Qualifying Hashrate is aggregated across all Data Centers where your Customer Equipment is hosted. The Discount for your Applicable Tier is applied separately to the Management Fee for each Data Center, which may differ by Data Center.

3.5  How the Discount Is Applied. Sazmining will apply the Discount by adjusting the Management Fee allocated to Sazmining through the Mining Pool for Block Rewards earned by your Customer Equipment.

3.6  Amounts Not Discounted. The Discount applies only to the Management Fee. It does not apply to Monthly Service Fees or Service Plan charges, Maintenance Fees, repair or hourly service charges, Early Termination Fees, decommissioning, disposal, shipping, or transfer fees, the purchase price of any Mining Rig or other product, fees charged by any third-party Mining Pool, taxes, or any other amount.

3.7  No Cash Value. The Program is a fee-reduction program only. Discounts (a) are not cash, currency, bitcoin, or any other digital asset, and have no cash value; (b) cannot be redeemed, refunded, withdrawn, or exchanged for cash, bitcoin, or any other digital asset or property; (c) are personal to you and may not be sold, transferred, assigned, pledged, or otherwise disposed of; and (d) are not your property, an account balance, a stored-value product, or a vested or contractual right. Sazmining will not make any payment of cash or digital assets to you under the Program. A Discount reduces only the portion of Block Rewards earned by your own Customer Equipment that would otherwise be payable to Sazmining as a Management Fee.

4. Tier Qualification

4.1  Monthly Recalculation. Sazmining will determine your Earned Tier on each Recalculation Date based on your Qualifying Hashrate as of 11:59 p.m. Pacific Time on the day before that Recalculation Date. Your Earned Tier, and Applicable Tier as of a Recalculation Date apply for the billing cycle that begins on that Recalculation Date.

4.2  Moving Between Tiers. Your Earned Tier may move up or down from month to month as your Qualifying Hashrate changes, and your Discount will change accordingly. If your Qualifying Hashrate falls below the Bronze threshold on any Recalculation Date, you will move to the Starter Tier, and no Discount will apply. Your Activated Status is not cancelled. When your Qualifying Hashrate returns to a Tier threshold, the Discount for that Tier resumes on the next Recalculation Date without a new Qualifying Purchase.

4.3  Equipment Temporarily Offline. Customer Equipment that is temporarily offline or not hashing, including because of Maintenance, repair, curtailment, power interruptions, relocation, Force Majeure, or a Protocol Change Event, continues to count toward your Qualifying Hashrate as long as you still own it and it remains hosted under your Service Agreement. However, a Mining Rig that Sazmining determines is permanently inoperable or not economically repairable stops counting on the next Recalculation Date after that determination, unless you repair or replace it within 60 days.

4.4  Excluded Equipment. The following (“Excluded Equipment”) does not count toward your Qualifying Hashrate, as of the next Recalculation Date after the relevant event: Customer Equipment that has been (a) sold, transferred, or otherwise disposed of, or that you have given notice of an intent to sell under your Service Agreement; (b) forfeited to, released to, or purchased by Sazmining; (c) disposed of, recycled, or shipped to you or removed from a Data Center; (d) covered by a Service Agreement that has expired or been terminated, or for which a notice of termination or non-renewal has been given; or (e) subject to a payment default under your Service Agreement.

4.5  When New Equipment Counts. Qualifying Hardware begins to count toward your Qualifying Hashrate on the earlier of (a) the date it is first energized at a Data Center and (b) the date a corresponding Virtual Rig is activated for you, in each case only after the purchase price has been paid in full.

4.6  Records; Dashboard. Sazmining’s records of Rated Hashrate, ownership, purchases, and Tier status control. Any Tier, progress bar, badge, or discount estimate shown in your Account dashboard or elsewhere is provided for convenience only. If Sazmining finds an error in the calculation or application of a Discount, Sazmining will correct it and may credit or offset the difference under Section 7.5. If you believe your Tier or Discount has been calculated incorrectly, you must notify support@sazmining.com within thirty (30) days after the end of the billing cycle concerned. Otherwise, the calculation for that billing cycle will be deemed final.

5. Activating Your Discount

5.1  Activation Requirement. You can see your Earned Tier in your Account dashboard from the date you are enrolled, but a Discount applies only once a Tier is activated. You activate a Tier by completing a Qualifying Purchase on or after September 1, 2026 with an aggregate Rated Hashrate at least equal to the Required Activation Hashrate for that Tier, provided that your Earned Tier on the next Recalculation Date (including the Qualifying Hardware purchased) is at least that Tier. A Qualifying Purchase made during the Founding Member Window activates your full Earned Tier. The Discount begins on the first Recalculation Date after your Qualifying Hardware is first energized at a Data Center.

5.2  Required Activation Hashrate. The Required Activation Hashrate for a Tier is the Activation Hashrate for that Tier shown in the Tier Schedule.

5.3  Activation Is Permanent. You activate once. After your first activation, your Applicable Tier follows your Earned Tier, up or down, on each Recalculation Date. No further Qualifying Purchase is required to receive the Discount for a higher Tier.

5.4  Falling Below a Threshold. If your Earned Tier later falls, your Discount will decrease or, below the Bronze threshold, cease, as described in Section 4.2. Your Activated Status is not cancelled, and the Discount for a Tier will resume on the next Recalculation Date when your Qualifying Hashrate again reaches that Tier’s threshold, without a new Qualifying Purchase.

5.5  Qualifying Purchase Conditions. A purchase is a Qualifying Purchase only if (a) it consists of Qualifying Hardware; (b) the purchase price has been paid in full; (c) the Qualifying Hardware is hosted at a Data Center under your Service Agreement; and (d) the aggregate Rated Hashrate of the Qualifying Hardware purchased in one or more orders within any thirty (30) consecutive day period is at least the Required Activation Hashrate. If a purchase is canceled, refunded, or reversed (including by Chargeback), or the Qualifying Hardware is not delivered and deployed, the related activation will be reversed, and Section 7.5 will apply.

5.6  Examples. The following examples are illustrative only. They assume no Founding Member Window benefit applies unless stated:

(a) New customer. A new customer purchases four items of Qualifying Hardware totaling 1.0 PH/s. The customer’s Earned Tier is Bronze. The Required Activation Hashrate for Bronze is 0.25 PH/s, so Bronze is activated.

(b) Large existing fleet. An Existing Customer with 20 PH/s is at Gold. The Required Activation Hashrate for Gold is 1.0 PH/s, so the customer must purchase at least 1.0 PH/s of Qualifying Hardware to activate Gold.

(c) Tier Increase Without a New Purchase. A Member who has activated Bronze later increases Qualifying Hashrate to 2.5 PH/s, whether by a new purchase or by equipment coming online. The Member’s Earned Tier becomes Silver, and because activation is permanent, the Silver Discount applies from the next Recalculation Date without a further Qualifying Purchase.

6. Transfers of Customer Equipment

6.1  Status Does Not Transfer. Your Tier, Activated Status, and Discount are personal to you. They do not transfer with Customer Equipment, including on a sale to a third party, a transfer by operation of law (such as death, bankruptcy, or divorce), or a transfer between Accounts.

6.2  Effect on Transferor and Transferee. When Customer Equipment is transferred, it becomes Excluded Equipment for the transferor under Section 4.4. If the transferee is party to a Service Agreement, the transferred Customer Equipment will count toward the transferee’s Qualifying Hashrate from the next Recalculation Date, but it is not Qualifying Hardware and cannot be used for a Qualifying Purchase. Hardware counts toward your Qualifying Hashrate on the same basis whether it is new, pre-owned, or transferred, once it is energized and hashing at a Sazmining Data Center. Transferred hardware does not count toward activation; only a Qualifying Purchase of Qualifying Hardware activates a Tier. Sazmining does not accept hardware transferred in from outside Sazmining.

7. Promotions, Changes, Suspension, and Termination

7.1  Promotions. From time to time in connection with the Program, Sazmining may offer and communicate promotions in its Program materials, including but not limited to a founding member designation, promotional activation thresholds, limited-time discounts, or other benefits. Each such promotion is offered at Sazmining’s discretion and is subject to the eligibility criteria, thresholds, dates, and other terms that Sazmining specifies in its Program materials. Except as expressly stated in these Loyalty Terms, the details of any promotion are set out in Sazmining’s Program materials rather than in these Loyalty Terms, and Sazmining may add, modify, or discontinue any promotion at any time in accordance with this Section 7.

7.2  Program Changes. Sazmining may modify these Loyalty Terms or the Program at any time. This includes changing Tier thresholds, Activation Hashrates, or Discounts; adding, removing, or renaming Tiers; changing how Discounts are applied; and suspending or ending the Program in whole or in part.

7.3  Notice. Sazmining will post updated Loyalty Terms with a new “Last Updated” date. For any change that reduces a Discount for which you currently qualify, Sazmining will give at least thirty (30) days’ notice by email to the address associated with your Account or by notice in your Account dashboard before the change takes effect. Other changes take effect when posted. Changes apply only going forward. They will not reduce any Discount already applied for a past billing cycle, except under Section 7.5. If you continue to participate after a change takes effect, you accept the change. If you do not agree to a change, your sole remedy is to opt out under Section 2.4.

7.4  Suspension and Disqualification. Sazmining may suspend your Discount or remove you from the Program if Sazmining reasonably determines that you (a) are in breach of your Service Agreement, including any payment default or Chargeback; (b) have engaged in fraud, misrepresentation, or abuse of the Program, including buying and then cancelling, returning, or transferring Mining Rigs, or splitting or combining Accounts, in order to obtain or increase a Discount; or (c) are no longer eligible under Section 2.2. While any amount owed under your Service Agreement is past due, no Discount will apply. Discounts lost during a period of non-payment will not be restored.

7.5  Reversal and Offset. If a Discount was applied in error, or was obtained through a purchase that is later canceled, refunded, or reversed, or through conduct described in Section 7.4(b), Sazmining may reverse the Discount. Sazmining may also recover the amount of any Discount already received by adding it to amounts payable under your Service Agreement.

7.6  End of Participation. Your participation in the Program ends automatically when (a) you opt out; (b) all of your Service Agreements expire or are terminated; or (c) Sazmining ends the Program.

8. General

8.1  Relationship to Your Service Agreement. These Loyalty Terms form part of your Service Agreement and the Terms of Use. The Discount is the only change these Loyalty Terms make to the Management Fee. Except as provided in these Loyalty Terms, your Service Agreement remains in full force and effect. Nothing in these Loyalty Terms requires Sazmining to keep the Management Fee or any other fee at a particular level, except as provided in your Service Agreement.

8.2  Order of Precedence. If these Loyalty Terms conflict with your Service Agreement or the Terms of Use, these Loyalty Terms control only with respect to Program eligibility and Tiers and the calculation and application of Discounts. For all other matters, your Service Agreement controls.

8.3  Disputes. Any dispute or claim arising out of or relating to the Program or these Loyalty Terms will be resolved exclusively under the “Legal Disputes” section of your Service Agreement, including its choice of law, claim limitation period, agreement to arbitrate, and class and representative action waiver. Those provisions are incorporated into these Loyalty Terms by reference.

8.4  Taxes. You are solely responsible for any taxes arising from your participation in the Program. Sazmining makes no representation about the tax treatment of any Discount and may report Program benefits to tax authorities where required by law.

8.5  Privacy. Sazmining will use information about your Account, Customer Equipment, hashrate, and purchases to administer the Program in accordance with the Sazmining Privacy Policy available at https://www.sazmining.com/privacy-policy.

8.6  No Guarantee of Results. The Program does not change the risks of Bitcoin mining described in your Service Agreement and the Terms of Use. Sazmining does not guarantee any level of Block Rewards, profitability, or return. Sazmining does not recommend, and is not advising you, that buying Mining Rigs to reach or activate a Tier is financially advisable for you. You are solely responsible for your purchasing decisions.

8.7  Disclaimer; Limitation of Liability. THE PROGRAM IS PROVIDED “AS IS” AND “AS AVAILABLE.” THE DISCLAIMERS AND LIMITATIONS OF LIABILITY IN YOUR SERVICE AGREEMENT APPLY TO THE PROGRAM. WITHOUT LIMITING THOSE PROVISIONS, SAZMINING’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PROGRAM WILL NOT EXCEED THE AMOUNT OF THE DISCOUNT, IF ANY, THAT YOU WERE ENTITLED TO BUT DID NOT RECEIVE FOR THE BILLING CYCLE(S) CONCERNED.

8.8  Future Program Features. Sazmining may offer additional Program benefits in the future. Those benefits may be subject to additional terms, which will be posted with, or incorporated into, these Loyalty Terms.
